Jay B. Bell has over 30 years of experience in a practice concentrated on representing organizers, owners, sellers and purchasers of business entities.

Jay uses his knowledge of the tax code and corporate management infrastructure to help clients as varied as land developers, software companies and manufacturers form business entities and ventures of all types. Mr. Bell draws upon decades of experience to handle all aspects of business operations including negotiation and documentation of contracts, vendor agreements, employment, 401(k) plans and other employee benefit plans.

He is also experienced in advising nonprofit organizations and foundations. As part of his extensive tax practice, Jay regularly handles succession planning for businesses as well as estate planning and probate administration for business owners.

Jay received his bachelor’s degree from the University of Utah, where he graduated cum laude, and earned high distinction honors in obtaining his law degree from University of the Pacific. He holds a master of laws degree, or LL.M., in estate planning from the University of Miami. 

BUSINESS FORMATION: Jay has formed many business entities and ventures of all types and his thorough knowledge of the tax code and corporate management infrastructure provides the right counsel his clients need in selecting the entity or venture to set-up for their businesses.

BUSINESS OPERATIONS: Jay works in partnership with his clients on all aspects of their business operation from the negotiation and documentation of contracts and agreements with vendors to employment matters and ranging from managing employee relations, administration of benefits to the technical requirements of qualified 401(k) type plans.

EMPLOYEE BENEFITS: Employees are an essential part of any successful business. Jay’s practice includes working with employee benefit plans. He has experience with designing and operating qualified benefit plans as well as deferred compensation and other non-tax qualified plans.

ESTATE PLANNING: Jay advises his business clients on the planning and protection of their estates. His guidance on the use and drafting of wills, trusts, powers of attorney and other estate planning devices will lessen or eliminate extreme financial stress if clients or their businesses encounter adverse circumstances.

SUCCESSION PLANNING: Jay’s emphasis on income tax and estate tax planning in his practice provides the experience required to advise his clients on the best course of action for business succession planning in accordance with their desires.

NONPROFIT ORGANIZATION/FOUNDATIONS: Jay advises all types of nonprofit organizations and foundations in his tax practice. He counsels clients on the formation of tax-exempt entities and the related operational structure and helps them navigate complex IRS regulations associated with tax exempt organizations.
