Nora Brunelle is an attorney and partner with Fabian VanCott, where she focuses her practice on mergers and acquisitions, debt and equity financing, and various corporate and real estate transactions.

Nora counsels her clients through all levels of deal-making, from initial negotiation of the letter of intent through diligence, drafting, closing, and implementation. In every transaction, Nora provides targeted legal strategies that help clients to assess and manage risk, avoid litigation, and capture maximum value.

Nora advises clients on complex regulatory and market issues that touch every stage of the business life cycle: initial business structuring, reorganizations, incentive equity arrangements, corporate governance, real estate transactions, finance and lending transactions, and exits, acquisitions, and succession planning.

Ms. Brunelle advises companies in a variety of industries at every size — from start-ups and emerging growth businesses to global established firms. She works regularly with clients in the biotechnology, cannabis, investment, logistics and transportation, managed services, software, and real estate industries. She regularly negotiates and drafts contracts ranging from standard corporate documents to creative and novel structures, in licensing, purchase and supply, distribution, commercial transactions, and vendor and personnel management.

Nora has developed an extensive M & A practice and guides clients through the process of selling, spinning-off, consolidating, or acquiring a business. Nora has led and closed acquisitions with values running into the hundreds of millions, but understands that small and mid-market deals can be just as complex, and are certainly just as important, especially when they represent the life’s work of her client. She is rigorous in attention to detail and adept at tactical negotiation, with a relentless focus on achieving results and efficiently overcoming legal obstacles.

Nora has been practicing law with Fabian VanCott since graduating summa cum laude from the University of Utah College of Law, where she was Managing Editor of the Utah Law Review and founded the Business Law Society.
