Nina Kim Bertelli represents clients in complex business transactions, including mergers and acquisitions, private equity and venture capital investments, growth equity, joint ventures, restructurings, and leveraged buyouts. She also advises clients on ERISA-regulated employee benefit matters and data privacy issues that intersect with transactions and daily operations. With a practical focus on real estate financing, Nina counsels developers, sponsors, operators, and lenders on construction and term loans, mezzanine and preferred equity, loan purchases and sales, workouts, and collateral/security matters, and she routinely coordinates title/survey review and closing mechanics (estoppels, SNDAs, payoff letters, lien releases, and escrow).

Her clients range from early-stage companies to established strategics and investment funds, and she has managed both buyer- and seller-side deals, with deal sizes ranging from $10 million to $420 million, across several industries, including SaaS/technology, edtech, factoring, healthcare, financial services, and aircraft acquisitions.

Off the clock, Nina chases two toddlers and epic plots—historical fiction and romantasy usually top her TBR stack.
